BYLAWS OF THE OKLAHOMA CITY TRADITIONAL MUSIC ASSOCIATION
ARTICLE I.
SECTION 1. This organization shall be known as the Oklahoma City
Traditional Music Association and is a corporation open to musicians
and non-musicians alike who share a love of traditional American
and Celtic music. The purpose of the corporation is to promote the
listening to and playing of said music, and to teach and encourage
beginning and advanced musicians The Oklahoma City Traditional Music
Association shall hereinafter be referred to as the OCTMA
SECTION 2. The bylaws herein contained shall be the laws governing
the OTMA
SECTION 3. The OCTMA does hereby enact, ordain andestablish these
bylaws to take effect upon approval of two thirds (2/3) of the members
in good standing in attendance at a meeting called specifically
for the purpose of adoption of these bylaws.
SECTION 4. Amendment to these bylaws may be made by two-thirds
(2/3) majority vote of members present or represented by proxy at
a meeting called for that purpose, provided that (a) all quorum
requirements are met, and (b) all proposed amendments have been
read at the next previous meeting and published in written form
and mailed to allmembers in good standing at least seven (7) days
prior to the meeting at which the vote will be taken.

ARTICLE II.
SECTION 1. The OCTMA shall meet on a regular basis, and said meetings
shall be open to the public. OCTMA meetings shall be held at the
time and place designated by written notice to all members in good
standing.
SECTION 2. A quorum shall be required of any meeting held for discussion
of any business matter requiring extraordinary expenditures of funds
from the treasury, or requiring special assessments to be levied
on the membership. Said quorum shall be fifty-one (51) percent of
the members in good standing, and may consist of a combination of
members in attendance and members represented by proxy ballots that
have been returned to the President prior to the convening of said
meeting.
SECTION 3. An Annual Meeting shall be held between June 1 and August
31 for the purpose of election of officers, directors-at-large,
and trustees, and for the presentation to the membership of the
financial report.
SECTION 4. There shall be one (1) vote allowed per active membership.
SECTION 5. It shall be the intention of the OCTMA for regular meetings
to be held as often as is feasible and practical, and informal sessions
involving individual members encouraged between regular meetings.
SECTION 6. It shall be the intention of the OCTMA for workshops
to be held at least twice during the year on the building and playing
of traditional instruments, and study of the cultures which fostered
traditional music in general. However, the OCTMA shall neither be
limited nor bound by said intention.
SECTION 7. "Robert's Rules of Order" shall govern the
conduct of all meetings requiring a quorum.
ARTICLE III.
SECTION 1. The officers of the OCTMA shall be the President, Vice-president
Secretary and Treasurer. The offices of Secretary and Treasurer
may be combined if deemed not to be an undue burden on the person
elected to fill that particular office.
SECTION 2. The Board of Directors shall consist of the officers
and the directors-at-large and shall have charge of affairs when
not in regular meetings.
SECTION 3. The President shall be the Chief Executive Officer,
chair-person of the Board of Directors, and shall exercise a general
supervision over the interests of the OCTMA. The President shall
appoint and discharge committees and perform all other ordinary
duties incident to the office of President of an organization.
SECTION 4. The Vice-president shall, in absence of the President,
assume the duties of the President. The Vice-president shall perform
any other duties assigned by the president.
SECTION 5. The Secretary shall beep an accurate record of all proceedings,
receive all communications and conduct the necessary correspondence
pertaining to the business of the OCTMA. The Secretary shall have
charge of the OCTMA bylaws and all membership records, including
any mailings made to the membership.
SECTION 6. The Treasurer shall receive alimonies due to be collected
by the OCTMA and give receipt, for same. The treasurer shall be
responsible for maintaining the OCTMA financial records, including
a report to be published to the membership at the Annual Meeting
The Treasurer shall be authorized to mabe necessary expenditures
for any and all ordinary expenses.
SECTION 7. All officers and directors-at-large shall be elected
by ballot and shall hold office for a period of one (1) calendar
year.Elections shallbe scheduled such that incoming officers and
directors-at-large have at least thirty (30) days to prepare for
their official duties.
SECTION 8. No person shall succeed himself as a specific officer
or director-at-large more than once.
SECTION 9. Any Officer or director-at-large who misses three (3)
consecutive regular meetings without good and valid cause shall
be declared negligent of duty and the office vacated. The President
shall then appoint a member in good standing to complete the unexpired
term, unless the vacated office is that of President, whereupon
the Vice-president shall assume the duties of President and appoint
a member in good standing to complete the unexpired term of Vice-president.
SECTION 10. Three (3) directors-at-large shall be elected by ballot
and shall hold office for a period of one (1) calendar year. They
shall serve on the Board of directors and provide advice and guidance,
and vote in matters requiring Board decisions.
SECTION 11. A quorum of the Board of Directors shall consist of
either the President or Vicepresident and at least three (3) other
members of the Board of Directors A majority vote is required for
Board decisions, provided the quorum requirements have been met.
ARTICLE IV.
SECTION 1. If,at any time, the OCTMA acquires real property, a
Board of Trustees, consisting of three (3) members in good standing,
shall be elected by majority vote at any regular meeting, with said
Trustees to hold office until the December 31 following the next
Annual Meeting.
SECTION 2. The Board of Trustees shall, as Trustees, hold title
to any real property owned or acquired by the OCTMA, in trust for
the said OCTMA for the sole use and benefit of the OCTMA. The Tntstees
are subject to a majority vote at any regular meeting as to acquisition,
management or disposition of such property.
SECTION 3. Notwithstanding the provisions of ARTICLE IV., SECTION
1., all Trustees shall be elected by ballot at the Annual Meeting
and shall hold office for a period of one (1) calendar year.
SECTION 4. No Trustee shall succeed himself more than once.
SECTION 5. Any vacancy on the Board of Trustees occasioned by death,
unwillingness to serve, removal from office or other reason shall
be filled by a member in good standing when elected by a majority
vote at any regular meeting. Said vacancy shall be filled to the
end of the term of the original trustee.
SECTION 6. The position of Trustees is not restricted to nor prohibited
from the elected officers or directors-at-large of the OCTMA to
hold said positions.
ARTICLE V.
SECTION 1. Membership in the OCTMA shall be open to anyone who
agrees with the premises as stated in ARTICLE I, SECTION 1.
SECTION 2. Annual or semi-annual dues shall be collected from the
membership on a per mailing address basis. Said dues are intended
only to cover the cost of periodic mailings and normal supplies
The amount of said dues shall be set as necessary by a majority
vote of the membership at any regular meeting. Any expenditures
made from the OCTMA treasury for periodic mailings or normal supplies
shall be deemed ordinary expenses.
SECTION 3. Any special assessments upon the membership of the OCTMA
for the purpose of funding extraordinary expenses shall be made
only upon approvalby a two-thirds (2/3) majority of a quorum of
the membership of the OCTMA.A complete and separate record shall
be maintained of all debit and credit entries for each extraordinary
expense.
SECTION 4. A petty cash fund shall be maintained by the Treasurer
of the OCTMA At such time as this fund shall exceed fifty dollars
($50.00), an account shall be opened at ii local savings institution.
This account shallbear the name of the OCTMA and shallrequire the
signature of the treasurer.
ARTICLE VI.
SECTION 1. This corporation is not organized for pecuniary profit,
and no part of its net earnings shall be distributed to or for the
benefit of any member, officer, director-a-large, trustee, or indvidual.
The balance, if anv. of all monies received by the corporation from
its operation, after payment in full of all debts and obligations
of the corporation, shall be used solely for carrying ont the purpose
of the OCTMA as stated out hereinabove.
SECTION 2. In the event of the dissolution of the OCTMA,the Board
of directors shall, after paying off all debts of the corporation
dispose of all remaining assets of the corporation in such manner,
or to such corporation or corporations operated exclusively for
charitable or educational purposes as shall at that time qualify
as an exempt corporation under the provisions of Section 501(C)
(3) of the Internal Revenue Code of 1954, or the corresponding provisions
of any future Internal Revenue Law, at the discretion of the Board
of Directors. The choice of any such recipient corporation would
preferably, but not necessarily, be directed toward a similar organization
or one whose purpose is similar to that of the Oklahoma City Traditional
Music Association.
On June 7, 1986 the OKLAHOMA CITY TRADITIONAL MUSIC ASSOCIATION
adopted the following change in the bylaws:
Article III, Section 8. A person may continue to serve as a specific
officer or director-at-large as long as he is in good standing with
the club and is duly elected by the general membership.

On March 7, 1987 the OKLAHOMA CITY TRADITIONAL MUSIC ASSOCIATION
adopted the following change in the bylaws:
Article II, Section 3. An annual meeting shall be held between
August 1 and October 3l for the purpose of election of officers,
directors-at-large and trustees and for the presentation to the
membership of the financial report.

On December 5, 1987 the OKLAHOMA CITY TRADITIONAL MUSIC ASSOCIATION
adopted the following change in the bylaws:
Article III, Section 10. Five (5) directors-at-large shall be elected
by ballot and shall hold office for a period of one (1) calendar
year. They shall serve on the Board of directors and provide advice
and guidance, and vote in matters requiring Board decisions.
